Longax, founded in 2022 and headquartered in Xinyang City, Henan Province, China, is a high-tech enterprise specializing in hunting electronic equipment. Our core products—dog trackers, trail cameras, electronic decoy devices, and electronic callers—serve the global hunting market. These Terms of Service (hereinafter “Terms”) apply to our international B2B clients (including distributors, retailers, and partners), governing your rights and obligations in purchasing and using our products and related services. By using our products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions
“Products”: Refers to Longax-manufactured dog trackers, trail cameras, electronic decoy devices, electronic callers, and related equipment.
“Services”: Refers to product-related technical support, software updates, customer service, and functionalities provided via our website (www.longax.com) or applications.
“You” or “Client”: Refers to the B2B entity or its authorized representative signing these Terms.
2. Scope of Services and Usage Conditions
2.1 Scope of Services

We provide product sales, technical support, firmware updates, and limited online services (e.g., device management platforms).
Service scope is as specified in the order contract or on our website.
2.2 Usage Conditions

You agree to use the products solely for lawful purposes, complying with applicable hunting equipment laws in the destination country.
Prohibited actions include illegal use, reverse engineering, firmware modification, or unauthorized commercial exploitation.
Service usage requires account registration with accurate information; you are responsible for account security.
3. Orders and Payment
3.1 Order Process

Orders must be submitted via designated channels (e.g., B2B portal or email) and are effective upon our written confirmation.
Order details (products, quantities, pricing) are governed by the signed contract.
3.2 Payment Terms

Default payment is in advance, accepted via wire transfer (T/T), letter of credit (L/C), or other mutually agreed methods.
Payment is due within 7 business days of order confirmation unless otherwise specified in the contract.
Late payments may result in order cancellation or delayed shipment, with no liability on our part.
4. Intellectual Property
Ownership of product designs, trademarks (e.g., “Longax”), software, and documentation remains with us, protected under international copyright laws.
You are granted a limited, non-exclusive license for normal commercial use, prohibiting copying, modification, or distribution of our intellectual property.
5. Product Warranty and Support
5.1 Warranty Policy

Products carry a 1-year limited warranty from delivery, covering manufacturing defects but excluding damage from misuse or human error.

5.2 Technical Support

Technical support is provided via email or phone, Monday to Friday, 9:00-17:00 (China Standard Time).
Support beyond the warranty period may incur additional fees.
6. Limitation of Liability

Indirect Damages: We are not liable for indirect losses (e.g., lost profits, business interruption) arising from product or service use.
Liability Cap: Our total liability shall not exceed the amount paid for the relevant order.
7. Force Majeure
Neither party is liable for failure to perform due to force majeure (e.g., natural disasters, war, government bans), provided prompt notification and reasonable efforts to resolve are made.
8. Termination and Breach
8.1 Termination Conditions

We may suspend services or terminate cooperation if you breach these Terms (e.g., non-payment, illegal use), reserving the right to claim damages.
You may terminate with 30 days’ written notice; pending orders are handled per contract terms.
8.2 Consequences of Breach

The breaching party shall compensate the other for direct losses and bear applicable legal consequences.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of China, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Disputes arising from these Terms shall be resolved through amicable negotiation; if unresolved, they will be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, conducted in English.

We may update these Terms based on legal or business needs, with the latest version posted at www.longax.com/terms and notified via email. Continued use constitutes acceptance of updates.
